CLIENT SERVICE AGREEMENT

Thank you for your interest in Sorted Spaces & Design. Please review the following Terms & Conditions, which provide the basis for our working relationship.

CONTRACT REQUIREMENT This Client Service Agreement (“Agreement”) is effective on the signed date [below] by and between the Parties of ______________________ (“Client”) and Sorted Spaces & Design/Independent Contractor representing Sorted Spaces & Design. Client and Sorted Spaces & Design agree to the following:

STATUS OF SORTED SPACES & DESIGN
The Parties acknowledge and agree that Sorted Spaces & Design is being retained as an independent contractor and that nothing in this Agreement shall be deemed to constitute an employment relationship, partnership, joint venture, or other business relationship between the Parties.

PARAMETERS OF RELATIONSHIP
Sorted Spaces & Design is not qualified to provide legal, tax, accounting, or financial advice, and the information provided to you by Sorted Spaces & Design is not intended as such. Legal, tax, accounting, and financially related inquiries should be referred by Client to appropriately qualified professionals.

PAYMENT TERMS
Payment is due in advance of the first session, including full session packages, with the exception of add-on hours at the end of a scheduled session, in which case payment for add-on hours is due at the end of the session. Add-on hours are charged at the purchased package hourly rate. Payment may be made by check, cash, Cash App, Zelle, or Venmo. Client is fully responsible for any fees charged by any app or any bank charges due to insufficient account funds.

CONFIDENTIALITY
Sorted Spaces & Design values the trust of its clients and, accordingly, agrees to maintain the confidentiality of all information about Client learned through the performance of services. Therefore, Sorted Spaces & Design agrees only to release information with the consent of Client, except as federal, state, or local law, rule or regulation requires disclosure or release of such files or information, or if such files or information are lawfully subpoenaed. Sorted Spaces & Design will also not divulge that Client is, in fact, a client, as a courtesy for Client’s privacy unless Client gives permission. Client is welcome to share that he or she is working with Sorted Spaces & Design.

GOOD FAITH ESTIMATE
If this Agreement includes a good faith estimate for the length of time necessary to complete the project, Sorted Spaces & Design will make every effort to complete the project within the estimated time frame. However, the actual time needed may vary depending on the circumstances, including the Client’s ability to quickly make decisions and fully participate in the organizing process. Client is responsible for payment of services exceeding the time estimate.

PERSONAL LIABILITY
Though Sorted Spaces & Design will exhibit utmost care and respect for the personal property, residence and worksite of each Client, in the event Sorted Spaces & Design causes damage to a Client’s possessions or real property, Sorted Spaces & Design will not be held liable.
CANCELLATION & RESCHEDULING
Client agrees to communicate a cancellation or rescheduling of an on-site session 24 hours in advance of the scheduled session. If cancellation of a scheduled session occurs within those parameters, Sorted Spaces & Design will reschedule your session for a mutually convenient date and time. If cancellation of a scheduled session within 24 hours or a no-show occurs, Sorted Spaces & Design may charge Client half of the hourly rate for the scheduled amount of time. If a rescheduling occurs more than 3 times for a single pre-paid session, Sorted Spaces & Design has the right to cancel any future services with Client. Sessions paid for in advance must be used within one year of payment. A refund will not be issued under any circumstances, unless otherwise agreed upon prior to the first session or at the discretion of Sorted Spaces & Design. Client will only be refunded prior to completion of the purchased package if Sorted Spaces & Design is no longer under operation.
MINIMUM HOURS
There is a 3-hour minimum session purchased. Based on experience, organizing sessions of shorter duration simply do not produce the same results.
TRAVEL POLICY
Sorted Spaces & Design will travel up to 25 miles. If travel time exceeds 30-45 minutes or is further than 25 miles, Sorted Spaces & Design may decline Client services.
ORGANIZING SERVICES & SUPPLIES
This agreement is for Sorted Spaces & Design services only, which may be conducted on site and/or off-site. Organizing services do not include the cost of supplies or products that may be used to complete the project (e.g., closet shelving, file folders, containers). Any supplies and products obtained by Sorted Spaces & Design through third parties for purposes of completing the organizing service are not covered by this contract. Sorted Spaces & Design assumes no liability for broken or defective products. Client may pay for their own purchases, or will be responsible for reimbursing Sorted Spaces & Design at the end of each completed space and the end of each package purchased dependent upon which comes first. Products may need to be assembled ahead of time by Client, or during a paid session by both or either Parties.
DONATION OF CLIENT’S PROPERTY
Client will make all decisions regarding donation of property. With Client’s approval, Sorted Spaces & Design will transport items, and Client will not hold Sorted Spaces & Design liable for those items. Sorted Spaces & Design may choose to call an organization to pick up items for Client at their discretion. At Client’s request, a copy of the receipt will be provided from the charitable organization. Client acknowledges that he or she is responsible for itemizing and valuing such donations for tax purposes.
DISPOSAL OF CLIENT’S PROPERTY
All materials selected for trash, destruction, and shredding will be approved by Client and Client will not hold Sorted Spaces and Design liable for those items. Client will be charged a $30 fee for each van-load hauled to Travis County Solid Waste. There is a maximum of one van-load per organizer per day.

DIGITAL ORGANIZING RELEASE OF PHOTOS AND VIDEOS
At this time Sorted Spaces & Design does not provide digital organizing services.
REFERRAL TO VENDORS
When appropriate to the Client project or when requested by Client, Sorted Spaces & Design may make referrals to vendors that it is familiar with, has had good referral relationships with, and that other clients have been satisfied with. Referrals to vendors are provided as a courtesy. Client retains the discretion and makes the final decision whether or not to hire a referred vendor and agrees that it is his or her responsibility to investigate them first. Sorted Spaces & Design asserts that it does not receive a commission for the referral, or if it does, it has fully disclosed such affiliate program to Client. Sorted Spaces & Design is not liable or responsible for the work that any third party vendor does for Client, the fees set, or collection of payment. The terms and fees of third party vendors are between the Client and the subcontractor exclusively.
CLIENT REFERRALS
Referrals are an important part of the success of Sorted Spaces & Design. For every new Client referred and payment processed, both the existing client and referred client will receive 1 free hour of any Session Package or 50% off 1 hour of the Basic Package, redeemed with the purchase of either package.
REVIEWS & RATINGS
Reviews and/or ratings are an important part of the success of Sorted Spaces & Design. For any review/rating submitted to, but not limited to, Google, Facebook, Yelp, or Nextdoor, the existing Client will receive 1 free hour of any Session Package or 50% off 1 hour of the Basic Package, redeemed with the purchase of either package. If the existing Client has received any other incentive for their rating or review, this discount is not applicable.
TERMINATION OF AGREEMENT
This Agreement shall be effective on the date signed and shall continue until either completion of the scope of work, a separate contract is signed between both Parties, or otherwise terminated by the Parties. If Client terminates this Agreement for any reason before the scheduled/paid completion date, Client will not be refunded, unless otherwise agreed upon by both Parties prior to the first session.
SEVERABILITY
If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable.
GOVERNING STATE LAW AND USE OF ALTERNATIVE DISPUTE RESOLUTION
The laws of the State of Texas shall govern this Agreement, and the Parties agree that if a dispute should arise, they will make best efforts to settle the matter amicably without resorting to legal action. If the Parties do not reach settlement, they will submit the matter to a mediator or arbitrator for alternative dispute resolution. As a last resort, the Parties agree that if court intervention is necessary, the venue selected will be Williamson County, in the state of Texas.
ENTIRE AGREEMENT
This Agreement contains the entire Agreement of the Parties, and there are no other promises or conditions in any other agreement whether oral or written.

PHOTO RELEASE
Client releases all rights to before and after photos, to be used by Sorted Spaces & Design for purposes within, but not limited to, social media, website, portfolio, etc. (with respect to Client confidentiality). Please select an option below.

PACKAGES & FEES
Each Session Package and Consultation Package must be paid in full and a Service Agreement signed prior to product research and/or the first session. Basic Package must be paid in full within 5 days of completed service. Add-on hours are charged at the purchased package hourly rate. Product cost must be paid by the end of each finished space and each purchased package, paid by Client. All Sorted Spaces & Design packages are nonrefundable, but are transferable.
